Early close of subscription period for the Ahold convertible notes

Royal Ahold, ABN AMRO Rothschild, Goldman Sachs International and Merrill Lynch International have decided, because of substantial demand, to close the subscription period for the offering of subordinated convertible notes due 2005 of Royal Ahold earlier than previously announced.

The subscription period will close on Friday, May 12, 2000, 12.00 hrs (noon) CET.

The subscription period for the offering of common Ahold shares is expected to close on Monday, May 15, 2000 at close of trading in Amsterdam.

For both the Ahold equity offering and the convertible offering, the final terms and conditions, as well as the allocations, will be determined on Monday, May 15, 2000 and will be communicated on Tuesday, May 16, 2000 before opening of the Amsterdam Stock Exchange.

The definitive terms and conditions will be as set out in the Prospectus Supplement, which is expected to be published after the close of the subscription period for the equity offering. The final Prospectus Supplement will be available from the Joint Global Coordinators, the Co-Managers and Ahold and, in the United States of America, from ABN AMRO Rothschild, a division of ABN AMRO Incorporated, Goldman, Sachs & Co. and Merrill Lynch & Co.
